HUF Deed: Steps to Establish a Hindu Undivided Family (HUF)
A Practical Guide to Initiating and Structuring Your Hindu Undivided Family

The Hindu Undivided Family (HUF) Deed is the most important document in the complicated framework of Indian income tax laws and financial management. The HUF Deed is a basic but effective legal instrument that creates the HUF and describes the rights and obligations of its members and shareholders. Crafting a tax-compliant HUF Deed is an important step for families looking to improve their financial situation and ensure a clear and systematic approach to asset management shared by all members.
This blog will go over the fundamentals of the HUF Deed, including its value and use as a tool for financial planning and family peace.
What is a HUF Deed?
A HUF deed is a key document in the foundation of a HUF. The Indian Income Tax Law recognizes the HUF as a distinct legal entity. The HUF Deed provides legal proof for families who pool their earnings, resources, and assets to run a family enterprise. The HUF Deed establishes the company entity, specifies the members, and provides management and operating standards.
Hindu Undivided Family (HUF): An Overview
The Indian Income Tax Law recognizes the Hindu Undivided Family, or HUF, as a unique legal entity reflecting the joint family system. It consists of family members who are lineally descended from the same progenitor, including wives and unmarried daughters. The HUF concept has its roots in Hindu law and is utilized to maximize income tax benefits and manage wealth.
Benefits of Forming a HUF
Setting up a HUF allows Hindu families to strategically manage their wealth and tax liabilities. With proper setup and maintenance, a HUF can be an effective vehicle for wealth accumulation, tax planning, and ensuring financial stability for future generations. The advantages of forming a HUF are stated below:
- Income tax benefits: Under the Income Tax Act, the HUF is considered as a separate legal entity, allowing for additional tax deductions and exemptions. As a result, forming a HUF efficiently reduces the tax burden on each HUF family member.
- Asset management: Typically, the family head is in charge of managing all of the HUF's assets. Centralized management of family assets and properties improves control and efficiency.
- Succession planning: A HUF allows for easy succession planning because assets are passed within the family without any hassle.
- Separate legal entity: As HUF is recognized as a separate legal organization, it can borrow, lend, and own property, giving the family greater financial flexibility.
Steps for Forming a HUF
Following are the steps to form a HUF:
- Creation of the HUF: The HUF is created or formed when the family's senior-most male member, also known as 'Karta', expresses his intention to form the HUF.
- HUF Deed: The HUF deed is the foundation of the HUF. It includes information about the HUF's members, their shares, and its operations. Although the HUF deed is not required, it does give clear documentation.
- PAN Application: To file income taxes and conduct financial transactions, the HUF's Permanent Account Number (PAN) must be obtained.
- Opening the Bank Account: To successfully handle the HUF's funds, opening a HUF account in the name of the newly founded business.
- HUF Registration (Optional): To provide a firm legal existence, the HUF must be registered, particularly for business purposes.
The Karta's Role in HUF
Typically, the eldest male member of the family is designated as the 'Karta'. The Karta serves as both manager and custodian of the HUF. He is authorized to make major financial decisions for the HUF. These decisions are similar to those made by HUF on assets, investments, and other financial matters. Karta plays an important role in the HUF because he is in charge of the well-being of all family members.
Members of HUF
The HUF consists of all males who are lineally derived from a common ancestor, as well as their spouses. Unmarried daughters can also join the HUF. After marriage, the girls can join their husband's HUF. Karta manages the family's assets and income, and all members have equal rights to them.
HUF Deed: Detailed Contents
The following essential elements form part of the HUF Deed:
- Title and Date: The HUF Deed should include the title, the purpose of its organization, and the date of incorporation.
- Declaration: The HUF Deed begins with the family members expressing their intention to form a HUF.
- Details of Karta: The name and details of the Karta in charge of managing the HUF should be supplied.
- Member Details: The names and relationships of HUF members to the Karta should be included in the HUF Deed. This section also specifies the members' respective shares.
- Capital Contribution: The source of the HUF's initial capital contribution, whether through ancestral properties, gifts, or contributions from members, should be specified in the HUF Deed.
- Business Scope: If the HUF is founded to conduct business, the HUF Deed shall specify the type and scope of the commercial operations.

HUF Deed: Steps for Making a HUF Deed
Drafting a HUF Deed entails numerous procedures to ensure it fits the legal standards and appropriately conveys the family's intent:
- Consultation: Before founding the HUF, consult with a legal expert or a Chartered Accountant to understand the HUF's tax ramifications and structure.
- Drafting the HUF Deed: After receiving the consultation, the HUF Deed can be drafted with the details provided in the preceding phase.
- Signature and Witnesses: The Karta and all adult members of the HUF should sign the HUF Deed in front of at least two witnesses.
- Notarization: Notarization is not required, although it improves the legal standing of the HUF Deed.
- Stamp Paper Preparation: The HUF Deed should be prepared on stamp paper with the proper value for the state in which the HUF is created.
Registration of a HUF Deed
Although registering the HUF Deed is optional, it can improve the HUF's legal status. It will profit in the long run if the HUF engages in large business activity or has substantial assets. The method of registering the HUF Deed varies depending on local or state legislation, but it often entails submitting the Deed to the Sub-Registrar's Office, together with the required fees and papers.
Tax Compliances for a HUF
HUFs must comply with the tax provisions for the fiscal year 2023-2024. HUF income tax compliance is identical to that of individual taxpayers. Understanding compliance and monetary restrictions is critical for HUFs to remain compliant with tax legislation and maximize the benefits available to them.
- Income Tax Return Filing: HUFs must submit an Income Tax Return (ITR) if their gross total income exceeds INR 2,50,000 before claiming deductions under Sections 80C through 80U. July 31 is the deadline for filing an ITR on ITR filing portal, which is also the deadline for individual taxpayers.
- Audit Requirements: HUFs must submit an Income Tax Return (ITR) if their gross total income exceeds INR 2,50,000 before claiming deductions under Sections 80C through 80U. The deadline for filing an ITR is July 31, 2024, which is also the deadline for individual taxpayers.
- Advance Tax Payments: If the total tax burden after TDS exceeds INR 10,000 in fiscal year 2023-2024, the HUF must pay advance tax. The advance tax should be paid in four installments: 15% on June 15, 45% on September 15, 75% on December 15, and 100% on March 15 of each fiscal year.
- Tax Deducted at Source (TDS): When a HUF sells a property for more than INR 50 lakhs, TDS is required. The purchaser of the property must deduct 1% TDS from the transaction amount.
If the HUF pays more than INR 2,40,000 in rent each year, TDS of 5% will be deducted.
- Tax Collected at Sources (TCS): TCS requirements are applicable to HUFs involved in specific receipts. The rates and conditions vary depending on the type of transaction and must meet the Income Tax Department's eligibility standards.
- Presumptive Taxation Scheme: HUFs can opt for the presumptive taxation system under Section 44AD if their total turnover or gross receipts are less than INR 2 crore. Section 44ADA limits professionals to INR 50 lakhs for presumptive taxation schemes.
- GST Registration: HUFs that offer goods and services must seek GST registration if their turnover reaches INR 20 lakhs (INR 10 lakhs for North Eastern and Hill States) in FY 2023-2024.
