Zetrix AI: Successive Share Sales Reduce Founder’s Stake to 10.89% Rating Watch Signals Governance Concerns

Group MD Wong Thean Soon Offloads Further Holdings Asia Internet Holdings Exits Substantial Shareholder Status, MARC Places AA-IS Rating Under Review

Zetrix AI Bhd has entered a period of heightened scrutiny following a string of share disposals by group managing director Wong Thean Soon (widely known as TS Wong), bringing his combined direct and indirect stake down to 10.89% and prompting a credit rating review over concerns about ownership stability and covenant compliance. The transactions, disclosed in Bursa Malaysia filings on September 25, mark a significant reduction in the founder’s holding and have raised questions about long-term control, governance, and strategic direction at the technology firm.

The Latest Disposal: Details and Breakdown

On September 24, Wong sold 6 million directly held shares at 17 sen apiece, raising approximately RM1.02 million. This transaction further eroded his position following earlier sales in the month:

  • September 21: Wong disposed of 629,131 direct shares at 20 sen each; concurrently, his indirect vehicle Asia Internet Holdings Sdn Bhd sold 6.8 million shares at 19.7 sen each, reducing his combined stake to 10.97%

  • September 18: Asia Internet Holdings sold 57 million shares, dropping its holding below the 5% substantial shareholder threshold and ceasing to be a declared major investor

Following the September 24 transaction:

  • Direct interest: 482.33 million shares — 6.107%

  • Indirect interest (through Asia Internet Holdings): 377.77 million shares — 4.783%

  • Total combined holding: 860.10 million shares — 10.89%

The sales have occurred amid notable share price volatility: the stock traded at 17.5 sen around midday on September 24, down roughly 5.41% that session alone, having opened at 18.5 sen and dipped as low as 17 sen. Volume was elevated, with over 205 million shares changing hands far above typical liquidity levels.

Rating Action: MARCWatch Developing

The ownership shift has drawn formal attention from credit rating agency MARC Ratings, which on September 18 placed Zetrix AI’s AA-IS rating for its RM2 billion Islamic Medium-Term Notes (IMTN) programme under MARCWatch Developing. The agency cited a specific covenant requiring Wong to remain the company’s single-largest shareholder, expressing concern that the declining shareholding could breach this agreement and weaken the ownership buffer supporting the debt.

A MARCWatch Developing status indicates uncertainty that could lead to an upgrade, downgrade, or affirmation of the rating depending on how events unfold. The review will focus on whether Zetrix AI can maintain compliance with its debt covenants, whether control remains stable, and whether any changes to governance or strategic direction could affect creditworthiness.

Significance: Founder Stake and Market Confidence

Founder and insider shareholdings serve as an important signal to investors and creditors. A substantial stake is generally interpreted as alignment between leadership and shareholder interests. The founder has significant personal capital at risk. When that stake declines rapidly and publicly, it can prompt legitimate questions:

  • Are the sales driven by personal financial needs or by concerns about the company’s outlook?

  • Has the strategic rationale for holding the shares changed?

  • Will the reduction in ownership influence decision-making, operational priorities, or governance structures?

  • Can the firm maintain its standing as an AI and blockchain infrastructure player without the founder as the clear anchor shareholder?

Asia Internet Holdings falling below the 5% threshold is particularly notable: it means the indirect layer of Wong’s ownership has become less transparent in terms of mandatory disclosure, as further disposals will not trigger substantial shareholder notifications.

Context and Market Reaction

Zetrix AI has positioned itself as a provider of blockchain infrastructure and AI-related solutions, with ambitions tied to Malaysia’s digital economy and emerging tech sector. As a relatively young, growth-oriented firm, it relies heavily on investor confidence to fund expansion, secure partnerships, and maintain its market profile. Sustained selling pressure from the founder complicates that narrative, potentially cooling sentiment among institutional and retail investors alike.

The share price action trading at or near the prices at which the sales occurred suggests the market is pricing in the supply from these disposals. With 860 million shares still held by Wong, the overhang of potential further sales remains a consideration for anyone evaluating the stock.

Watch This Space

At this stage, there is no definitive indication that further disposals are planned. The company has not signalled changes to its business strategy, and Wong remains managing director. But the threshold has shifted: the founder is no longer the dominant shareholder he once was, the rating is under review, and the market is watching closely.

The coming weeks will clarify whether the selling is complete and whether MARC’s concerns are resolved or reinforced. For Zetrix AI, the immediate priority is clear: demonstrate stability, reassure creditors, and prove that the company’s trajectory depends not on one individual’s holding, but on the strength of its business model and execution.
