Zetrix AI in Crisis: Suspended Services, Unremitted Funds, and an Uncertain Future

RM314 Million Arrears Trigger JPJ Collection Ban Liquidity Pressures Mount Governance and Long-Term Relevance in Question

Zetrix AI Bhd finds itself at the centre of a serious financial and operational crisis after the Ministry of Transport suspended its role as an authorised collection agent for the Road Transport Department (JPJ). The suspension follows the accumulation of unremitted government funds totalling RM314 million, money collected on behalf of the state but never transferred to official accounts. What began as a breach of financial obligations has widened into a broader reckoning over liquidity, governance, and whether the company will ever regain the trust required to operate as a critical public-sector service provider.

The Shortfall and the Suspension

The situation has been building for months. Since May, authorities have held four formal engagement sessions with Zetrix AI leadership, including representatives from the Ministry of Finance, and issued 35 separate reminder notices seeking settlement of the outstanding sums. Despite these efforts, the funds remain unpaid. As a result, the Ministry of Transport has moved to suspend Zetrix AI’s collection services, effectively cutting off one of its most significant revenue streams. Legal proceedings to recover the full amount are now being prepared.

Zetrix AI has stated that it has submitted a formal proposal to resolve the arrears and is working toward restoring its services, subject to necessary approvals. But MBSB Research, which has analysed the company’s position, warns that even a negotiated settlement would not automatically guarantee reinstatement. Should the licence be returned, the research house notes, the standard operating procedures governing revenue collection will almost certainly change, requiring immediate, direct crediting of funds to government accounts, eliminating the window that allowed the accumulation of arrears in the first place.

Liquidity: Cash on Hand vs. Debt

The numbers raise further concerns. At the end of the second quarter ending June 30 2026, Zetrix AI reported RM541.6 million in cash and cash equivalents. However, its short‑term loans and borrowings stood substantially higher at RM853.1 million, a gap that leaves little margin for settling large, one‑off payments. “We do not discount the possibility that Zetrix AI may have difficulties in making the payment in the near term,” MBSB Research cautioned. Even if the company were to clear the full RM314 million, its remaining liquidity would be significantly diminished at a time when debt obligations are pressing.

Governance Ratings and Auditor Departure

The unease extends beyond balance sheet figures. MARC Ratings has revised the company’s credit outlook from “developing” to “negative”, citing heightened concerns over corporate governance, transparency, and the absence of clear explanations for the sharp rise in borrowings. Compounding these worries, Zetrix AI’s external auditor, TGS TW PLT, has resigned, a move that, while framed as a portfolio realignment, inevitably raises questions about oversight and reporting standards within the firm.

Long‑Term Risks: A Changing Landscape

Even if Zetrix AI navigates the immediate crisis, the ground beneath its business model is shifting. The Ministry of Transport is actively promoting its own MyJPJ application alongside existing channels in‑person counters, self‑service kiosks, and the official JPJ Public Portal. These developments reduce the long‑term need for third‑party collection agents, potentially eroding the revenue stream that has been central to Zetrix AI’s growth. Currently, roughly 40% of the group’s total revenue comes from non‑AI, non‑blockchain segments, including government collection services, meaning the loss or restriction of this work would have an immediate and material impact on earnings.

MBSB Research has placed its earnings forecasts, stock recommendation, and target price under review, pending clarity on how the company will resolve the arrears, satisfy regulators, and rebuild confidence.

Zetrix AI stands at a critical juncture. It must settle a substantial debt to the public purse; it must demonstrate that its financial management and governance structures meet the standards expected of those handling state funds; and it must adapt to a future where government services are increasingly delivered directly, without intermediaries. How it addresses these challenges will determine not only whether it regains its JPJ licence, but whether it remains a viable, trusted enterprise in the Malaysian market.
